DEED OF PARTNERSHIP AGREEMENT


GOBINDO SAHA, son of Nitai Pada Saha, Mother – Sabita Rani Saha, permanent Address : Village – Daulatpur, Post Office – Itna, Police Station – Lahagara, District – Narail, Nationality – Bangladeshi, Religion – Hindu, Profession – Business, Age – 39 years.
----The 1st Party.

Ananda Saha, son of Nitai Pada Saha, Mother – Sabita Rani Saha, permanent address : Village – Daulatpur, Post Office – Itna, Police Station – Lohagara, District – Narail, Nationality – Bangladeshi, Religion – Hindu, Age – 30 years.
-----The 2nd Party.

Remembering the name of most merciful creator and beginning the partnership agreement. We are the 1st and 2nd party were agreed in equal opinion and for to conduct of our business and were came to mutual discussion and in the following terms and condition basis, on today, we were performed of this Deed of Partnership Agreement. The terms and conditions are mentioned in the following:

TRAMS & CONDUCTION

1.                  Invest of Money: In equal amount of investment, the 1st and 2nd party was started of the partnership business.
2.                  Name, address and type of the Business: "The Jhumka Jewelers", 131, Farmview Super Market, Farmgate, Tejgaon, Dhaka-1215 and Type of Business – Jewelry Business.
3.                  Distribution rate for Profit and Loss: After paid all the expenses including the monthly rent of the shop, the rate for profit and loss shall be distributed in the following manner in between of the parties:

(a) 1st Party – Gobindo Saha                =          50%
(b) 2nd Party – Ananda Saha                 =          50%

4.                  In own name or by the other name, any parties could not to be cheated with each other.
5.                  It is mentioned here that in the name of the Business Firm, there has been opened a Current Account of which number is 1028290 in the Rupali  Bank, Farmgate Branch and which account could be operated either the two persons or one of the said person.
6.                  The 1st and 2nd parties would be operated of the joint business through the mutual discussion among them and will be made joint signature for all the documents of the Firm. But in the special cases, one of the partners would be run of the business due to absent of other partner.
7.                  Account Book: All of the Income and Expense of the Firm and Accounts for to keeping in correct form, there would have to be an Account Book. This Account Book will be kept in an open space and in personal two diaries, the account of capital and yearly profit and loss will be treated as effective as per signed with both the parties and according to the legal procedures. If there is not existed signature for both the parties in the said Diary, there would not to be legally effective.

8.                  Any party if be died, there will be enjoyed about the liabilities of the business following the share by his legal heirs and these heirs will be conducted of this partnership business.
9.                  The terms and conditions of this Deed of Partnership Business Agreement would be bound to obey by both the parties.


We are the 1st and 2nd parties were read out of the Agreement and read by others and after understood for the ground of it and without influenced by other, in self-willing, in full of knowledge, in perfect  brain, in the present of the witnesses were signed of this Deed of Partnership Business Agreement by our own hand and performed which on the dated 04/01/2005.
